Orlen SAOrlen energy and Azoty chemicals resume talks on Orlen's purchase of Azoty Polyolefins shares
Listed chemicals group Azoty and its subsidiary, Grupa Azoty Police, will resume talks, which ended in July 2025, on a potential transaction involving the acquisition by Poland's largest energy concern Orlen of all or part of Grupa Azoty Polyolefins shares from GA Police and Grupa Azoty, Azoty announced in a market filing.
The resumption of talks was confirmed by the conclusion of an annex by Grupa Azoty, Grupa Azoty Zaklady Chemiczne Police, Grupa Azoty Polyolefins and Orlen to the Memorandum of Understanding in force since July 31, 2025.
The purpose of the MoU was to define the framework for cooperation between the parties in the area of a potential transaction involving the use of selected assets belonging to GA Polyolefins and the Police Seaport Authority (ZMP Police), including the transhipment and storage terminal and port plots used by GA Polyolefins.
"Before making a final decision to proceed with the sale of all or part of GA Polyolefins shares to Orlen by GA Police and Grupa Azoty, the parties to the MoU will consider and assess the potential impact of this transaction on the sale process of selected assets belonging to GA Polyolefins and ZMP Police, including the transhipment and storage terminal and storage terminal and port plots used by GA Polyolefins. This assessment will aim to avoid conducting both transactions simultaneously," Azoty said in the market filing.
