ZABKA GROUP SA (ŻABKA) (5/2025) Zawarcie umowy generalnego wykonawstwa dotyczącej realizacji centrum logistycznego w centralnej Polsce k. Łodzi

Zabka Group SA z siedzibą w Luksemburgu ("Emitent") informuje, że spółka zależna Emitenta Żabka BS sp. z o.o. z siedzibą w Poznaniu ("Spółka"), zawarła w dniu 18 kwietnia 2025 r. ze spółką zależną Dekpol S.A., Dekpol Budownictwo sp. z o.o. z siedzibą w Pinczynie ("GW"), umowę generalnego wykonawstwa w formule "zaprojektuj i wybuduj" dotyczącą realizacji obiektu magazynowo - produkcyjnego (centrum logistycznego) z przestrzeniami mroźni, chłodni, strefy suchej oraz przestrzeniami socjalno-biurowymi, o powierzchni około 42 tys. m2 wraz z powiązaną infrastrukturą wewnętrzną i zewnętrzną (w tym sieci, przyłącza, drogi i zjazdy do dróg publicznych), obejmującą także uzyskanie zgód i pozwoleń, w szczególności decyzji administracyjnych, niezbędnych dla realizacji inwestycji ("Umowa GW").

Przedmiot Umowy GW, będzie realizowany na niezabudowanych nieruchomościach, których właścicielem jest Spółka, zlokalizowanych w centralnej części Polski, koło Łodzi ("Inwestycja"). Zakończenie realizacji Inwestycji w zakresie zleconym GW ma nastąpić w drugiej połowie 2026 r. Wynagrodzenie za wykonanie Umowy GW wynosi około 35 milionów EUR netto. Spółka ma prawo do wyłączenia z realizacji części robót, jak również do powierzenia GW wykonania robót dodatkowych, zamiennych lub opcjonalnych.

Umowa GW zawiera postanowienia dotyczące kar umownych zastrzeżonych na korzyść Spółki, obejmujące standardowy katalog kar umownych dla umów tego rodzaju, należnych m.in. w przypadku opóźnień w realizacji Inwestycji i usuwaniu wad lub usterek, a także kary umownej w wysokości 10% wartości wynagrodzenia w przypadku odstąpienia przez Spółkę od Umowy GW z przyczyn leżących po stronie GW. Łączna wysokość kar umownych wynikających z Umowy GW w związku z opóźnieniem w realizacji przedmiotu Umowy GW nie może przekroczyć 10% wartości wynagrodzenia wynikającego z Umowy GW. Spółce przysługuje prawo dochodzenia, na zasadach ogólnych, odszkodowania przekraczającego wysokość kary umownej, do pełnej wysokości poniesionej szkody.

Spółce przysługuje również prawo odstąpienia, w całości lub części, od Umowy GW w przypadkach określonych w Umowie GW, w tym m.in. podjęcia przez Spółkę decyzji w sprawie rezygnacji z dalszego wykonywania robót lub niewykonania przez GW stosownych obowiązków w terminach określonych w Umowie GW. GW przysługuje natomiast prawo odstąpienia od Umowy GW w przypadku nieuregulowania przez Spółkę należności na warunkach określonych w Umowie GW.

Dla Grupy Emitenta centrum logistyczne pod Łodzią jest trzecim centrum logistycznym realizowanym w formule inwestorskiej, po obiektach w Małopolu pod Warszawą (oddanym do użytkowania w 2022 roku) oraz Kątach Wrocławskich pod Wrocławiem (oddanym do użytkowania na początku 2025 roku). Uzyskanie operacyjności nowego centrum logistycznego planowane jest na 2027 r.

Planowane centrum logistyczne będzie dziewiątym obiektem sieci logistycznej Żabka Polska i umożliwi obsługę sklepów z regionu centralnej Polski.

Zabka Group SA, based in Luxembourg (the "Issuer"), informs that a

subsidiary of the Issuer, Żabka BS sp. z o.o., based in Poznań (the

"Company"), on 18 April 2025 has entered into an agreement with a

subsidiary of Dekpol S.A., Dekpol Budownictwo sp. z o.o. with its

registered seat in Pinczyn ("GC"), a general construction agreement

under the "design and build" formula for the construction of a warehouse

and production facility (logistics centre) including freezers, cold

storage, a dry zone as well as social and office spaces, with an area of

approximately 42,000 m2, together with the associated internal and

external infrastructure (including networks, utility connections, roads

and exits to the public roads), also including obtaining approvals and

permits, in particular administrative decisions, necessary for the

implementation of the investment (the "GC Agreement").

The subject of the GC Agreement, will be implemented on undeveloped real

estate owned by the Company, located in central Poland, near the city of

Łódź (the "Investment"). The Investment is to be completed within the

scope assigned to GC in the second half of 2026. The remuneration for

the execution of the GC Agreement is approximately EUR 35 million net.

The Company has the right to exclude part of the works from execution,

as well as to entrust the GC with the execution of additional,

replacement or optional works.

The GC Agreement contains provisions regarding contractual penalties in

favour of Company, covering the standard catalogue of contractual

penalties for agreements of this type, due, among others, in the event

of delays in the implementation of the Investment and removal of defects

or faults, as well as a contractual penalty of 10% of the remuneration

value in the event of the Company withdrawing from the GC Agreement for

reasons attributable to GC. The total amount of contractual penalties

under the GC Agreement in connection with delays in the execution of the

subject matter of the GC Agreement may not exceed 10% of the value of

the remuneration under the GC Agreement. The Company shall have the

right to claim damages exceeding an amount of contractual penalty, up to

the full amount of the damage suffered.

The Company also has the right to withdraw, in whole or in part, from

the GC Agreement in cases specified in the GC Agreement, including,

among others, the Company taking a decision to discontinue further work

or GC's failure to perform the relevant obligations within the deadlines

specified in the GC Agreement. GC, on the other hand, has the right to

withdraw from the GC Agreement in the event of the Company's failure to

pay the amount due under the terms of the GC Agreement.

For the Issuer's Group, logistics centre near Łódź is the third

logistics centre implemented in the investment formula following

facilities in Małopole near Warsaw (commissioned in 2022) and Kąty

Wrocławskie near Wrocław (commissioned in early 2025). The new logistics

centre is planned to become operational in 2027.

The planned logistics centre will be the ninth facility in the Żabka

Polska logistics network and will enable the servicing of stores in

central Poland.
